JFrog Files Registration Statement for Proposed IPO

JFrog filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission relating to a proposed Initial Public Offering of its ordinary shares.
The number of shares to be offered and the price range for the proposed offering have not yet been determined. JFrog has applied to list its ordinary shares on the Nasdaq Global Select Market under the ticker symbol “FROG.”
Morgan Stanley & Co. LLC, J.P. Morgan Securities LLC and BofA Securities, Inc. are acting as lead book-running managers for the proposed offering. KeyBanc Capital Markets Inc., Piper Sandler & Co., Stifel, Nicolaus & Company, Incorporated, William Blair & Company, L.L.C., Oppenheimer & Co. Inc. and Needham & Company, LLC are acting as co-managers for the proposed offering.
The proposed offering will be made only by means of a prospectus. A registration statement relating to these securities has been filed with the U.S. Securities and Exchange Commission but has not yet become effective. These securities may not be sold, nor may offers to buy be accepted, prior to the time the registration statement becomes effective.
